TERMS OF COLLABORATION

This Collaboration Agreement (“Agreement”) is entered into between Miranda Nolan (“Director”), and you, the “Collaborator” collectively referred to as the “Parties.”

  1. Purpose of Collaboration

Director is planning to produce a movie (the “Project”) under the banner of Serenity Films LTD, and Collaborator is willing to contribute their skills, expertise, and/or creative views to the Project as agreed upon by the Parties and signed off solely by the Director.

  1. Collaboration Contributions

2.1 Collaborator agrees to provide the following contributions to the Project in accordance to their role:

Assistant Director: The Assistant Director assists in coordinating and managing various aspects of film production, ensuring smooth scheduling and organisation on set.

Cinematographer: The Cinematographer is responsible for capturing the visual elements of a film, including camera work, lighting, and framing, to convey the director’s vision.

Sound: The Sound team records and enhances audio elements, ensuring high-quality dialogue, sound effects, and music for the film.

Talent: Talent refers to the actors and actresses who bring characters to life on screen, conveying emotions and delivering lines as per the script.

Lighting: Lighting professionals design and execute the lighting setup to create the desired mood and atmosphere in each scene, complementing the cinematographer’s vision.

Music: The Music department composes and selects music to enhance the emotional impact of the film, providing a soundtrack that complements the storytelling.

Editor: Editors assemble and edit raw footage into a cohesive narrative, shaping the final story’s structure and pacing in accordance to the Director’s vision.

Writer: The Writer is responsible for crafting the screenplay, creating the story, characters, and dialogue that form the foundation of the film’s narrative.

2.2 All contributions made by Collaborator shall be subject to the approval and direction of Director and shall be used solely for the production of the Project.

  1. Ownership of Intellectual Property

3.1 Director and Serenity Films LTD shall exclusively own all rights, title, and interest in and to any and all intellectual property created or contributed by Collaborator in connection with the Project, including but not limited to:

  1. Screenplay, script, or any written materials.
  2. Artistic creations, including visual, audio, and audiovisual elements.
  3. Music compositions, soundtracks, or any musical content.
  4. Any other contributions directly related to the Project.

3.2 Collaborator acknowledges that all contributions made to the Project under this Agreement shall be considered “work for hire” and shall be the exclusive property of Director and Serenity Films.

  1. Compensation

4.1 Collaborator’s compensation, if any, for their contributions to the Project shall be as mutually agreed upon in a separate written agreement, if applicable.

  1. Confidentiality

5.1 Collaborator agrees to keep confidential all information related to the Project, including but not limited to scripts, storylines, character development, and any other proprietary information.

  1. Term and Termination

6.1 This Agreement shall commence on the Effective Date and shall continue until the completion of the Project, unless terminated earlier by mutual written agreement or for just cause.

  1. Governing Law

7.1 This Agreement shall be governed by and construed in accordance with the laws of England & Wales, without regard to its conflicts of laws principles.

  1. Entire Agreement

8.1 This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements, whether oral or written.
